Terms & Conditions — AI SaaS Platforms & Robotics

1. Agreement and Parties

These Terms & Conditions (the "Agreement") govern access to and use of Tungsten's AI SaaS platforms, software, documentation, developer tools, and robotics products and services (the "Services") by the entity or person agreeing to them ("Customer").

2. Accounts, Users and Safety

Customer is responsible for its accounts, users, and configurations, including maintaining the confidentiality of credentials and ensuring appropriate role-based access.

Customer must operate robotics products in accordance with manuals, safety guidelines, site assessments, and applicable standards or laws; do not disable safety features.

3. Subscriptions, Hardware & Fees

  • SaaS subscriptions are billed in advance monthly or annually and auto-renew unless cancelled before the renewal date.
  • Robotics hardware may be purchased or leased; firmware updates and support are provided during the active support term.
  • Fees are non-refundable except where required by law or expressly stated.
  • Taxes: Customer is responsible for applicable taxes (e.g., GST/VAT) unless a valid exemption is provided.

4. Trials, Beta & Free Features

Trials, beta or experimental features are provided "AS IS" without warranties, may be modified or discontinued, and are excluded from SLAs and indemnities.

5. Acceptable Use and Restrictions

  • No unlawful, harmful, infringing, deceptive or abusive activity.
  • No reverse engineering, decompiling, scraping, bypassing security controls or rate limits.
  • No introduction of malware or interference with the Services.
  • Export control/sanctions compliance: Customer will not use or export the Services contrary to applicable laws.

6. Customer Content, Privacy & Data Processing

Customer retains ownership of Customer Content. Customer grants Tungsten a limited license to host, process, transmit and display Customer Content to provide and support the Services.

Personal data will be processed per the Privacy Policy and, where applicable, a Data Processing Addendum (DPA) incorporating appropriate transfer mechanisms.

Training use of Customer Content: not used to train foundation models unless Customer opts in or data is de-identified/aggregated, as detailed in the Privacy Policy.

7. Intellectual Property; Feedback

Tungsten and its licensors own all intellectual property in the Services. No rights are granted except as expressly set out. Feedback may be used without restriction or compensation.

8. Security, Business Continuity & Incident Response

  • We maintain administrative, technical and physical safeguards appropriate to the Services and risk.
  • We operate disaster recovery and business continuity measures proportionate to the Services.
  • In case of a security incident affecting Customer data, we will notify Customer without undue delay and provide information consistent with applicable law.

9. Third-Party Services and Integrations

Customer may enable integrations with third-party products or services. Tungsten is not responsible for third-party terms, performance or privacy practices; use is at Customer's discretion.

10. Warranties and Disclaimers

SaaS and AI outputs are provided "AS IS" and "AS AVAILABLE". Tungsten disclaims all warranties to the maximum extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement.

Robotics: Tungsten warrants hardware against defects in materials and workmanship during the stated warranty period. This warranty excludes damage from misuse, improper installation, or operation contrary to safety guidelines.

Customer is solely responsible for reviewing AI outputs and ensuring safe deployment and oversight of robotics in its environment.

11. Indemnification

By Customer: Customer will defend and indemnify Tungsten from third-party claims arising from Customer's (a) misuse of the Services or robotics, (b) violation of law (including safety, export, or privacy laws), or (c) Customer Content.

By Tungsten: Tungsten will defend and indemnify Customer against third-party claims alleging the Services infringe intellectual property rights, subject to exclusions (e.g., modifications not made by Tungsten, combination with non-Tungsten products).

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR USE, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR PAYMENT OBLIGATIONS OR IP INFRINGEMENT INDEMNITY, EACH PARTY'S TOTAL LIABILITY IS LIMITED TO (A) FOR SAAS: THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO TUNGSTEN FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; AND (B) FOR ROBOTICS HARDWARE: THE AMOUNT PAID FOR THE AFFECTED UNIT.

13. Term, Suspension and Termination

  • This Agreement starts when Customer first accepts it and continues for the subscription term(s).
  • Either party may terminate for material breach not cured within 30 days of written notice.
  • We may suspend access for non-payment, security risks, legal compliance, or violations.
  • Upon termination, Customer access ends; we will make export tools available for a limited period as described in documentation.

14. Publicity

We may identify Customer by name and logo as a customer, subject to Customer's right to opt out by written notice.

15. Governing Law and Dispute Resolution

This Agreement is governed by the laws of India. The courts at Ludhiana, Punjab have exclusive jurisdiction. At either party's option, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996; seat Ludhiana; one arbitrator; proceedings in English.

16. Changes

We may modify these Terms from time to time. Material changes will be notified. Continued use after the effective date constitutes acceptance of the updated Terms.

17. General

This Agreement is the entire agreement regarding its subject matter and supersedes prior agreements. If any provision is unenforceable, the remainder remains in effect. Neither party may assign without the other's consent, except to an affiliate or in connection with a merger, acquisition or sale of assets.

Part A — Customer Agreement (Terms & Conditions)

1. Agreement and Parties

These Terms & Conditions (the "Agreement") govern access to and use of Tungsten's AI SaaS platforms, software, documentation, developer tools, and robotics products and services (the "Services") by the entity or person agreeing to them ("Customer"). By using the Services, Customer agrees to this Agreement.

2. Accounts, Users and Safety

  • Customer is responsible for its accounts, users, and configurations, including maintaining the confidentiality of credentials and enabling role-based access.
  • Customer must operate robotics products strictly per manuals, safety guidelines, site assessments, and applicable laws/standards; do not disable safety features.
  • Customer is responsible for securing its environment (network, premises, and installation) where robots/SaaS are deployed.

3. Subscriptions, Hardware, Fees & Taxes

  • SaaS subscriptions are billed in advance (monthly/annual) and auto-renew unless cancelled before the renewal date.
  • Robotics hardware may be purchased or leased; firmware updates/support are provided during the active support term.
  • Fees are non-refundable except where required by law or expressly stated. Late amounts may incur interest subject to law.
  • Taxes: Customer is responsible for applicable taxes (e.g., GST/VAT) unless a valid exemption is provided.

4. Trials, Beta & Free Features

Trials/beta features are provided "AS IS" without warranties, may be modified or discontinued, and are excluded from SLAs and indemnities.

5. Acceptable Use and Restrictions

  • No unlawful, harmful, infringing, deceptive or abusive activity.
  • No reverse engineering, decompiling, scraping, or bypassing security controls or rate limits.
  • No introduction of malware or interference with the Services; comply with export control/sanctions laws.
  • No use in prohibited high-risk scenarios without written assurance and safeguards (see AI & Robotics restrictions).

6. Customer Content; Privacy & Data Processing

  • Customer retains ownership of Customer Content (including data generated by connected robots). Customer grants Tungsten a limited license to host, process, transmit, and display Customer Content to provide/support the Services.
  • Personal data is processed per the Privacy Policy and, where applicable, a Data Processing Addendum (DPA).
  • Training use of Customer Content: not used to train foundation models unless Customer opts in or data is de-identified/aggregated as detailed in the Privacy Policy.

7. Intellectual Property; Feedback

Tungsten and its licensors own all IP in the Services. No rights are granted except as expressly set out. Feedback may be used without restriction or compensation.

8. Security, Business Continuity & Incident Response

  • We maintain administrative, technical and physical safeguards appropriate to risk (e.g., RBAC, encryption in transit/at rest where applicable, vulnerability management, MFA for privileged access).
  • We operate disaster recovery and business continuity measures proportionate to the Services.
  • If a security incident affects Customer data, we will notify Customer without undue delay and provide relevant information to support compliance.

9. Third-Party Services and Integrations

Customer may enable integrations with third-party services. Tungsten is not responsible for third-party terms or privacy practices; use is at Customer's discretion.

10. Warranties and Disclaimers

  • SaaS and AI outputs are provided "AS IS" and "AS AVAILABLE." All implied warranties are disclaimed to the maximum extent permitted by law.
  • Robotics: Tungsten warrants hardware against defects in materials/workmanship during the warranty period. Excludes misuse, improper installation, or operation contrary to safety guidance.
  • Customer must review AI outputs and ensure safe deployment and oversight of robotics within its environment.

11. Indemnification

  • By Customer: indemnify Tungsten against third-party claims arising from misuse, violation of law (including safety/export/privacy), or Customer Content.
  • By Tungsten: indemnify Customer for third-party claims alleging the Services infringe IP rights, subject to exclusions (e.g., modifications not by Tungsten).

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR USE. EXCEPT FOR PAYMENT OBLIGATIONS OR IP INFRINGEMENT INDEMNITY, EACH PARTY'S TOTAL LIABILITY IS LIMITED TO: (A) FOR SAAS — THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO TUNGSTEN FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT; AND (B) FOR ROBOTICS HARDWARE — THE AMOUNT PAID FOR THE AFFECTED HARDWARE.

13. Term, Suspension and Termination

  • Agreement starts upon acceptance and continues for subscription term(s).
  • Either party may terminate for uncured material breach after 30 days' written notice.
  • We may suspend for non-payment, security risks, legal compliance, or violations.
  • Upon termination, access ends; export tools will be available for a limited period per documentation.

14. Publicity

We may identify Customer by name and logo as a customer, subject to Customer's right to opt out by written notice.

15. Governing Law; Dispute Resolution

  • Entire Agreement; severability; assignment only to affiliate or in connection with merger/acquisition/sale of assets.

Part B — Privacy Policy (Global)

1. Scope and Roles

This Privacy Policy covers personal data processed in our SaaS and robotics Services. For Customer Content we typically act as a processor; for account, billing, marketing and support data we act as a controller.

2. Data We Collect

  • Account & Identity; Authentication; Billing & Transactions.
  • Usage & Device; Cookies/SDKs; AI Interaction Data.
  • Robotics Telemetry (e.g., sensor readings, firmware versions, safety events).
  • Support communications (tickets, emails, chat, calls where permitted).

3. Purposes of Processing

  • Provide, secure and improve Services; OTA updates; diagnostics; safety.
  • Payments, billing, accounting, tax compliance.
  • Fraud prevention and enforcing policies.
  • Support, training, and service communications.
  • With consent or as permitted, marketing communications.

4. Legal Bases / Lawful Grounds

Where applicable, we rely on performance of contract, legitimate interests, consent (e.g., non-essential cookies), and legal obligations.

5. AI Transparency & Model Training

We disclose AI use in features and provide controls where feasible. Customer Content is not used to train foundation models unless opted-in or de-identified/aggregated.

6. Cookies & Tracking

We use cookies/SDKs for functionality, analytics, and (where applicable) advertising. Non-essential cookies require prior consent where required by law. See Cookie Policy.

7. Sharing of Personal Data

  • Service providers/sub-processors under DPAs.
  • Affiliates for internal operations.
  • Legal/compliance requests and protection of rights.
  • Business transfers (merger, acquisition, sale of assets).

8. International Transfers

We implement appropriate safeguards for cross-border transfers (e.g., SCCs/IDTA) as required by law and update mechanisms as regulations evolve.

9. Retention

We retain data only as long as necessary for the purposes described, legal obligations, and dispute resolution. Typical periods: account/billing for contract term + statutory retention; logs/telemetry 12–24 months; support records 3 years; marketing preferences until opt-out.

10. Security

We employ administrative, technical, and physical safeguards proportionate to risk. No method is 100% secure.

11. Your Rights

Depending on your location, you may have rights to access, correct, delete, port, object/opt-out, limit use of sensitive data, and appeal decisions. To exercise rights, contact us.

12. Children's Data

Our Services are not directed to children below the age required by local law. Where applicable, we obtain verifiable consent.

Part C — Cookie Policy / Cookie Notice

This Cookie Policy explains how we use cookies/SDKs and your choices.

1. What Are Cookies?

Cookies are small files placed on your device; SDKs are code in apps. Both can collect device and usage information.

2. Types of Cookies We Use

  • Strictly Necessary: essential for core functionality and security.
  • Functional/Preference: remember settings like language.
  • Analytics/Performance: measure usage and improve features.
  • Advertising: deliver and measure ads where applicable (used only with consent).

3. Consent and Management

Where required by law, we ask for consent before setting non-essential cookies. You can withdraw consent at any time via "Cookie Settings" or browser/app controls.

4. Global Privacy Control (GPC) & Do Not Track

Where feasible, we honor recognized browser signals like GPC for opt-out preferences.

5. Retention

Cookie lifetimes vary by category and provider. We minimize retention and use aggregated analytics where possible.

Part D — Data Processing Addendum (DPA)

This DPA forms part of the Agreement when Tungsten processes personal data on behalf of Customer.

1. Roles and Scope

Customer is the controller (or equivalent); Tungsten is the processor (or equivalent). This DPA applies to personal data processed for the Services.

2. Processing Instructions

Tungsten will process personal data only on documented instructions from Customer, including transfers, unless required by law.

3. Confidentiality and Personnel

Tungsten ensures personnel are bound by confidentiality and receive appropriate training.

4. Security Measures

Tungsten implements appropriate technical and organizational measures (Annex II).

5. Sub-processors

Customer authorizes Tungsten to engage sub-processors under written contracts imposing data protection obligations. A current list will be made available on request; Customer may subscribe to updates and object on reasonable grounds.

6. Data Subject Requests

Tungsten will assist Customer, insofar as possible, to respond to data subject requests.

7. Cooperation and DPIAs

Tungsten will provide information to support Customer's DPIAs and consultations, considering the nature of processing and information available.

8. Breach Notification

Tungsten will notify Customer without undue delay after becoming aware of a personal data breach relating to Customer data.

9. International Transfers

Where applicable, the parties incorporate the EU Standard Contractual Clauses and UK IDTA/Addendum. For other jurisdictions, appropriate safeguards will be applied.

10. Return or Deletion

Upon termination of Services, Tungsten will delete or return personal data (at Customer's choice) after a limited retention period for backups/compliance.

11. Audits

Upon reasonable notice, Tungsten will make available audit reports or allow audits subject to confidentiality and security requirements.

12. Liability

Each party's liability under this DPA is subject to the limitations of the Agreement, unless prohibited by applicable law.

Annex I — Details of Processing

Categories of data subjects: Customer's users, end-customers, employees, contractors. Types of personal data: identifiers, contact data, usage telemetry, interaction data, support records. Subject matter & duration: provision of Services for the subscription term. Nature & purpose: hosting, processing, storage, transmission, analytics, support.

Annex II — Technical and Organizational Measures (TOMs)

  • Access control: RBAC, least privilege, MFA for admins; password hashing.
  • Data security: encryption in transit (TLS) and at rest where applicable; key management.
  • Network: segmentation, firewalls, IDS/IPS where applicable; vulnerability management.
  • Operations: change management, secure SDLC, code review, logging/monitoring.
  • Continuity: backups, tested restore procedures, disaster recovery targets.
  • Incident response: documented plan, breach notification workflows.

Annex III — Authorized Sub-processors

A current list of sub-processors will be maintained and made available upon request or via our website. Customer may subscribe to receive updates.

Part E — US State Privacy Addendum

This Addendum supplements our Privacy Policy for residents of certain US states with comprehensive privacy laws.

1. Scope

Applies to residents of states with comprehensive privacy laws (e.g., CA, VA, CO, CT, UT, TX, and others as enacted).

2. Categories, Sources, and Purposes

We collect categories of personal information described in the Privacy Policy from the sources and for the purposes set out there.

3. Your Rights

  • Right to know/access and portability.
  • Right to correct and delete.
  • Right to opt-out of sale/share of personal information and targeted advertising.
  • Right to limit use/disclosure of sensitive personal information where applicable.
  • Right to appeal a denied request.

4. Opt-Out Mechanisms

You may opt-out via in-product controls or by contacting us. Where supported, we honor Global Privacy Control signals.

5. Non-Discrimination

We will not discriminate against you for exercising your privacy rights.

6. Notice of Financial Incentives

If we offer programs that may be considered financial incentives, we will provide a separate notice describing material terms and how the value is calculated.

Part F — Robotics Safety & Liability Disclaimer

1. Intended Use and Professional Responsibility

Robotics products are intended for professional/industrial use by trained operators. Customer is responsible for site assessment, proper installation, and ensuring operation in safe, lawful environments.

2. Prohibited Uses

  • Medical diagnosis/treatment or life-support without applicable certifications and written authorization.
  • Operation in hazardous environments without appropriate safety systems (e.g., guarding, e-stops, geofencing).
  • Tampering with or disabling safety features or firmware protections.

3. Customer Obligations

  • Ensure operators are trained; maintain logs and maintenance schedules.
  • Comply with local standards and regulations applicable to robotics and automation.
  • Implement layered safety, including physical safeguards and emergency stop procedures.

4. Liability Allocation

To the maximum extent permitted by law, Tungsten is not liable for injury or damage arising from misuse, operation contrary to manuals, or modification of safety features. Liability caps in the Agreement apply.

Part G — AI Fair Use & Risk Disclaimer

1. Nature of AI Outputs

AI features may generate probabilistic outputs that can be inaccurate, incomplete, or inappropriate. Outputs should not be solely relied upon without human review.

2. Prohibited and High-Risk Uses

  • Legal, medical, or financial advice provided without qualified human oversight.
  • Deployment in safety-critical systems without additional controls and validation.
  • Any use that violates law, third-party rights, or our Acceptable Use Policy.

3. Customer Responsibilities

  • Evaluate outputs for accuracy and appropriateness before use.
  • Disclose AI involvement to end-users where required by law and obtain consent as needed.
  • Refrain from submitting sensitive or regulated data unless required safeguards are in place.

4. Disclaimers

To the extent permitted by law, AI features are provided "AS IS" without warranties; Tungsten disclaims responsibility for decisions made based on AI outputs.

Part H — Definitions & Interpretation

Capitalized terms used but not defined have the meanings assigned in the Agreement. References to laws include updates and successor legislation.

Selected Definitions

  • Customer Content: data and materials submitted to the Services by or for Customer, including data from connected robots.
  • Personal Data: information relating to an identified or identifiable natural person.
  • Sub-processor: a processor engaged by Tungsten to process personal data on Customer's behalf.
